1. Introduction and Acceptance of Terms
These Terms of Service (hereinafter, the "Terms") constitute a legally binding agreement between you, whether as an individual or business entity (hereinafter, the "Client", "User" or "You"), and Solventus Software S.L. (CIF: B21841747), a company incorporated under Spanish law with registered office in Alicante, Spain (hereinafter, "Solventus", "we" or "the Company"), regarding access to and use of the software as a service platform and all associated services we provide through our digital platforms accessible at solventussoftware.com and app.solventussoftware.com (collectively, the "Service" or "Platform").
By accessing, registering, browsing or using our services in any way, including but not limited to creating a user account, using workspaces, managing projects, or any other interaction with our platform, you expressly acknowledge that you have read, understood and agree to be legally bound by all the terms, conditions, policies and restrictions set forth in this document, as well as by our Privacy Policy, which is incorporated by reference and forms an integral part of this contractual agreement.
If you do not agree to any of the terms and conditions set forth in this document, or if you do not have the legal capacity to enter into binding contracts under applicable laws, you must immediately refrain from accessing or using our services.
2. Definitions and Terminology
For the purposes of these Terms of Service, the following definitions shall apply:
"Platform" or "Service": Refers to the comprehensive software as a service (SaaS) solution developed and operated by Solventus Software S.L., including web applications, APIs, user interfaces, business management functionalities, collaboration systems, project management, billing, tickets and any other technological component provided through the domains solventussoftware.com and app.solventussoftware.com.
"Client" or "User": Any natural person of legal age with full legal capacity, or duly incorporated legal entity, who uses, accesses, registers or interacts with our services. Includes both the main account holder and any authorized user who accesses the service under the credentials or permissions granted by said holder.
"User Content": Comprises all information, data, text, images, documents and any other digital material that you upload, post, store, transmit or make available through our platform, including workspace notes, project information, invoices, attached documents and collaborative diagrams.
3. Detailed Service Description
3.1. Nature of the Service
Solventus Software is a comprehensive business management and collaboration platform that provides organizations with a complete technological solution for project management, clients, collaborative workspaces, billing and communication. Our platform allows companies and professionals to optimize their business processes through modern and efficient technology.
The service is structured as a multi-tenant cloud-hosted platform, meaning that multiple clients use the same technological infrastructure while keeping their data completely segregated and secure through data isolation technologies (Row-Level Security).
3.2. Main Features
The Solventus platform includes, without limitation, the following functionalities:
- Workspace Management: Creation and administration of collaborative spaces with member management, shared notes and role-based access control
- Project Management: Complete system for project planning, tracking and documentation with proposals, statuses and client assignment
- Billing System: Professional invoice generation with concept management, automatic VAT calculation, and PDF export
- Appointment Management: Integrated calendar for meeting and event scheduling with email invitations
4. Account Registration and User Obligations
4.1. Registration Process
To access and use our Platform, you must complete the registration process by creating a user account by providing accurate, current, complete and verifiable information. Registration is carried out through our secure authentication system (Clerk).
4.2. Invitation System
Currently, platform access is invitation-based. Administrators can invite new users through the secure invitation system. Each invitation:
- Is valid for 7 days from issuance
- Can only be used once
- Is linked to the specific recipient's email address
4.3. Security Obligations
You are solely responsible for maintaining the security and confidentiality of your access credentials. You must notify us immediately of any unauthorized use of your account or security breach at info@solventussoftware.com.
5. Acceptable Platform Use
5.1. Permitted Use
Your use of the platform must be limited exclusively to legitimate business activities related to managing your organization, complying at all times with all applicable laws and regulations.
5.2. Prohibited Activities
It is strictly prohibited to use our services for:
- Illegal activities: Any activity that violates local, national or international laws
- Inappropriate content: Offensive, discriminatory, defamatory material or content that infringes third-party rights
- Security violations: Hacking attempts, malware distribution, DDoS attacks, reverse engineering
- Excessive resource use: Deliberately overloading systems or violating reasonable usage limits
- Spam or phishing: Mass sending of unsolicited messages or fraud attempts
- Credential sharing: Allowing unauthorized persons access through your account
6. Intellectual Property
6.1. Software Ownership
All intellectual property rights to the software, source code, algorithms, design, functionalities, documentation, trademarks and logos that constitute the Solventus platform are and will remain the exclusive property of Solventus Software S.L.
We grant you a limited, non-exclusive, non-transferable and revocable license to use the platform exclusively for your internal business purposes during the term of your subscription.
6.2. Client Content
You retain all ownership rights to the content you upload to our platform (documents, notes, invoices, images). By uploading content, you grant us a non-exclusive license to use, reproduce, store and process such content solely to provide the contracted services.
It is your responsibility to ensure that you have all necessary rights to the content you upload and that such content does not infringe third-party rights.
7. Data Protection and Privacy
7.1. Regulatory Compliance
All personal data processing is carried out in strict compliance with the GDPR, the Spanish LOPDGDD, and other applicable regulations. Our Privacy Policy details our data protection practices.
7.2. Third-Party Processors
To provide our services we use certified third-party processors:

Data Transparency
All third-party processors operate under strict contractual agreements (DPAs) that limit the use of personal data exclusively to the provision of specified services. No third party has the right to use the data for their own purposes.
7.3. Responsibilities as Data Processor
When we process data from your end customers or contacts through the platform, we act as data processor under your instructions. You, as data controller, must:
- Ensure you have legal basis to process such data
- Inform your contacts about data processing
- Obtain necessary consents when applicable
- Ensure data is accurate and current
8. Service Availability and Warranties
8.1. Availability
We strive to keep the platform available 24/7, but we do not guarantee uninterrupted availability. We may perform scheduled maintenance with 48 hours prior notice when possible.
8.2. Warranty Limitations
We provide our services "as is" (as-is) without implied warranties of merchantability or fitness for a particular purpose. We do not guarantee error-free operation, although we commit to correcting significant errors in a timely manner.
8.3. Technical Support
We provide technical support by email during normal business hours (Monday to Friday, 9:00-18:00 CET). Response times vary depending on issue criticality.
9. Limitation of Liability
9.1. Exclusion of Indirect Damages
Under no circumstances shall we be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, revenues, data, business opportunities, or business interruption, even if we have been warned of the possibility of such damages.
9.2. Liability Limits
Our total liability shall be limited to one hundred euros (€100) except in cases of willful misconduct or gross negligence, or when the law does not allow such limitation.
10. Customer Data Protection
10.1. Responsibilities as Data Processor
When we process data from your end customers or contacts through the platform, we act as data processor under your instructions. You, as data controller, must:
- Ensure you have legal basis to process such data
- Inform your contacts about data processing
- Obtain necessary consents when applicable
- Ensure data is accurate and current
10.2. Our Obligations
As data processor, we commit to:
- Process data only according to your documented instructions
- Ensure confidentiality of personnel with data access
- Implement appropriate security measures
- Assist in the exercise of data subject rights
- Notify security breaches within 72 hours
- Delete or return data upon service termination
11. Duration and Termination
11.1. Duration
This agreement remains in effect while you maintain an active account on the platform.
11.2. Termination by Client
You may cancel your account at any time by contacting us at info@solventussoftware.com. Before final deletion:
- We will provide you with a 30-day period to download your data
- Your data will be marked for deletion
- Financial data will be retained anonymized according to legal requirements (7-10 years)
11.3. Termination by Us
We may suspend or terminate your access immediately for:
- Material breach of these terms
- Fraudulent or illegal activities
- Serious security risks
- Use that harms other users or the service
11.4. Effects of Termination
Upon termination:
- Access to the platform ceases immediately
- We provide 30 days to export your data
- We delete your data according to our retention policy (except data subject to legal obligations)
- Confidentiality and data protection obligations survive termination
12. Terms Modifications
We reserve the right to modify these terms at any time. For material modifications:
- We will provide 30 days advance notice by email
- We will publish updated terms on this page
- We will update the "Last updated" date
Your continued use after the effective date constitutes acceptance of the modifications. If you do not agree, you may terminate your account before the changes take effect.
13. Applicable Law and Dispute Resolution
13.1. Applicable Law
These terms are governed by Spanish law, without regard to conflict of laws principles. In particular, the following regulations apply:

13.2. Jurisdiction
For dispute resolution:
- Consumers: Courts and Tribunals of the consumer's domicile
- Businesses/Professionals: Courts and Tribunals of Alicante, Spain
13.3. Alternative Dispute Resolution
Before initiating judicial proceedings, we will try to resolve disputes through direct good faith negotiation. Consumers can access the EU ODR platform: ec.europa.eu/consumers/odr
14. General Provisions
14.1. Entire Agreement
These terms, together with our Privacy Policy and Cookie Policy, constitute the complete agreement between the parties.
14.2. Severability
If any provision is deemed invalid or unenforceable, such provision shall be severable without affecting the validity of the remaining provisions.
14.3. Assignment
You may not assign these terms without our prior written consent. We may assign these terms in connection with mergers, acquisitions or asset sales.
14.4. Notices
Official notices will be sent by email to the address registered in your account. It is your responsibility to keep your contact information updated.
